Terms & Conditions

These Terms and Conditions are intended to supplement those to which you and Saltwater Marketing, LLC (“Consultant”) agreed in connection with any related Marketing Proposals or Agreements. Please read these terms and conditions carefully.

Term of Agreement and Payment of Fees

You and Consultant can amend the agreement on such terms and subject to such conditions as may be agreed at that time. Fees and charges for the services to be rendered by and through Consultant are as set forth in the foregoing Marketing Proposal, and payment is due within 15 days of receipt of invoices. All agreements are made on a “month-to-month” basis.

Confidentiality

Saltwater Marketing, LLC acknowledges that we may be furnished or may otherwise receive or have access to information that relates to the Client’s, present or future services, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives the Client an opportunity to acquire an advantage over its competitors who do not know or use it (the “Proprietary Information”). Saltwater Marketing, LLC agrees to preserve and protect the confidentiality of Proprietary Information and all physical forms thereof, whether disclosed to Saltwater Marketing, LLC before this Agreement is signed or afterward. Client acknowledges and agrees to the same conditions with regards to Saltwater Marketing, LLC proprietary information.

Search Engine Optimization Hold Harmless

You are and shall remain responsible for the content of your website, social media accounts, blogs, articles, and other content tied to your profile. Consultant shall provide you with recommended strategies and content optimizations and will work diligently to improve the position of your website listing in search engine results as well as an overall improvement in your key metrics, but has not guaranteed and cannot guarantee that your listing will show up in the results or that you will see any immediate improvement in rankings, traffic or social media activity. Furthermore, you acknowledge that the search engines control whether or not your listing appears in the results and in what position. You specifically understand and agree that Consultant shall not be liable for any costs incurred, or compensation or loss of earnings suffered, as a result of changes to your website, and you hereby indemnify Consultant and Saltwater Marketing, LLC and hold both harmless from and against any such costs or losses.

Online Marketing, Content and Advertising Hold Harmless

You are and shall remain responsible for the content of any advertising, promotional and other materials displayed or used in connection with the services contemplated by this Agreement, including those posted on your website and/or social media accounts, and you agree to indemnify and hold Consultant and Saltwater Marketing, LLC harmless from and against any and all claims by regulatory or legal authorities or third parties arising under or relating to that content.

Termination

If you default on any of your obligations undertaken in this agreement or for any other reason, Consultant shall have the right to terminate this agreement and the Marketing Proposal, deliver all services paid for, and provide no further services. All contracts are offered on a "month-to-month" basis and can be cancelled by either party with 30 days written notice.
